StudioSphere Terms of Service
Welcome to StudioSphere, an online collaborative music studio and listening platform ("StudioSphere," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of StudioSphere's website, applications, APIs, and related services (collectively, the "Services").
By creating an account, accessing, or using StudioSphere, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Services.
1. Eligibility
To use StudioSphere, you must:
- Have the legal capacity to enter into a binding agreement;
- Provide accurate, complete, and current registration information; and
- Meet the applicable age requirements.
Age requirements:
- If you reside in Quebec, you must be at least 14 years old, unless a parent or legal guardian has provided valid consent.
- If you reside outside Quebec, you must meet the minimum age of digital consent in your jurisdiction.
If a parent or legal guardian provides consent for a minor, they are responsible for the minor's use of the Services and compliance with these Terms.
If you use StudioSphere on behalf of a band, label, or organization, you represent that you have authority to bind that entity to these Terms.
2. Your StudioSphere Account
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
You agree to:
- Promptly notify us of any unauthorized use or security breach;
- Keep your account, contact, and payment information accurate and up to date; and
- Not share your account or allow others to impersonate you.
We reserve the right to suspend or terminate accounts that violate these Terms, pose a security risk, or compromise the integrity of the Services.
3. Acceptable Use
StudioSphere exists to foster respectful collaboration and creativity.
You agree not to:
- Upload, stream, or distribute content you do not own or have rights to;
- Infringe copyrights, trademarks, or other intellectual property rights;
- Upload unlawful, harmful, defamatory, harassing, or abusive content;
- Attempt to hack, reverse-engineer, disrupt, or interfere with the Services;
- Use bots, scrapers, or automation that interferes with normal platform operation;
- Circumvent access controls, subscription systems, or invitation mechanisms.
StudioSphere may remove content or restrict access at its discretion where it reasonably believes a violation has occurred.
4. Content Ownership and License
4.1 Your Content
You retain all ownership rights in music, recordings, notes, chats, and other materials you upload or share ("User Content").
4.2 License to StudioSphere
By uploading or streaming User Content, you grant StudioSphere a limited, non-exclusive, worldwide, royalty-free license to:
- Host, store, process, transmit, and stream your content to you and authorized collaborators;
- Display your name, profile, and content within the platform for collaboration and playback;
- Use anonymized or aggregated data to improve the Services.
This license exists solely to operate and improve StudioSphere and does not permit commercial exploitation of your work.
License termination: This license terminates when you delete your content or close your account, except where retention is required for backup, legal compliance, or dispute resolution.
4.3 Your Responsibilities
You may upload only content that you own or have explicit rights to share. You are solely responsible for your User Content and its compliance with applicable laws.
5. Prohibited Uploads
You may not upload:
- Copyrighted or licensed works without authorization;
- Samples, stems, or loops without proper clearance;
- Content intended to impersonate, deceive, or harm others;
- Content that violates applicable laws or third-party rights.
StudioSphere is a collaborative workspace, not a public distribution or streaming service.
6. Collaborative Sessions
When you create or join a Listening Session, Project, or Band:
- The Producer (host) controls session access, playback, and permissions;
- Chats, reactions, and notes may be retained as part of project history;
- Participants must respect confidentiality and creative ownership.
We recommend that collaborators establish written agreements governing ownership of jointly created works.
7. Privacy and Personal Information
StudioSphere processes personal information only as necessary to operate the Services and in accordance with applicable privacy laws, including Quebec's Act respecting the protection of personal information in the private sector (Law 25).

8. Payments and Subscriptions
Certain features require a paid subscription.
By purchasing a subscription, you agree to:
- Pay all applicable fees and taxes;
- Maintain valid payment information; and
- Acknowledge that subscriptions renew automatically unless canceled.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, without penalty, in accordance with applicable consumer protection laws.
Refunds are handled in accordance with applicable laws and payment provider policies.
9. Termination
You may close your account at any time.
We may suspend or terminate access if:
- These Terms are violated;
- The Services are misused or others' rights are infringed; or
- Required by law or regulatory authority.
Where reasonably possible, we will provide notice prior to termination and allow a reasonable opportunity to retrieve your content. Following termination, content may be deleted or anonymized in accordance with our Privacy Policy.
10. StudioSphere Intellectual Property
All platform technology, software, design elements, trademarks, and branding are owned by StudioSphere or its licensors.
You may not copy, modify, distribute, or exploit these materials without prior written permission.
11. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind.
StudioSphere does not guarantee uninterrupted operation, data integrity, or compatibility with all devices.
Nothing in these Terms limits rights that cannot be excluded under applicable consumer protection laws.
12. Limitation of Liability
To the maximum extent permitted by applicable law, StudioSphere shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data.
StudioSphere's total liability for any claim arising from the Services shall not exceed the amounts paid by you (if any) in the twelve (12) months preceding the claim.
13. Dispute Resolution and Governing Law
We encourage informal resolution of disputes. Please contact us at support@studiosphere.space.
These Terms are governed by the laws of Quebec and Canada, without regard to conflict-of-law principles. Any disputes shall be brought before the courts located in Montreal, Quebec.
14. Language
These Terms are available in English and French. In the event of a discrepancy, the French version shall prevail for users located in Quebec.
15. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice prior to taking effect. Continued use of the Services constitutes acceptance of the revised Terms.
